Please take a moment to read these Terms carefully as they form the basis of your agreement with Headlinemoney.

Headlinemoney may amend these Terms from time to time by updating this page. Your continued use of the Site after revisions have been made will indicate your acceptance of the revised Terms. Please bookmark and periodically review this page for updates to ensure that you are familiar with the most current version.



  • INTERPRETATION
    • 1.1 In this agreement the following meanings shall apply:
      "Agreement" means the agreement between us and you for the provision of the Service incorporating these Terms and a contributor's agreement if you are a third party contributor of the Material;
      "Intellectual Property Rights" means copyright, database rights, trade mark rights, goodwill and any other intellectual property or similar rights;
      "Material" means the press releases and other public communications contributed by third parties available through the Service;
      "Service" means the on-line financial information service provided by Headlinemoney at www.headlinemoney.co.uk containing the Material;
      "Terms" means these terms and conditions;
      "We" and "us" means Centaur Communications Limited, trading as Headlinemoney ("Headlinemoney"); and
      "You" means the customer we make the Agreement with.
    • 1.2 This Agreement is the entire agreement between you and us in respect of the Service.

  • PROVISION OF THE SERVICE
    • 2.1 We shall provide the Service in accordance with the terms and conditions of this Agreement.
    • 2.2 We cannot guarantee that the Service will never be faulty but we will correct reported faults as soon as we reasonably can. If a fault occurs you should report the fault by telephone, e-mail or in writing to us.
    • 2.3 The Service is accessed via the Internet. You are responsible for the provision of and payment for telecommunications services plus a suitable PC, modem and any other items of software, hardware or communications equipment necessary to enable you to access the Service. We are unable to make any contribution to these costs.
    • 2.4 We may temporarily suspend the whole or any part of the Service for any reason including for the purposes of carrying out repairs, modifications or corrections at our sole discretion. We may, but shall not be obliged to, give you as much notice as is reasonably practicable. We will restore the Service as soon as reasonably practicable after temporary suspension. In accordance with Clause 7 below we shall not be liable to you for any loss which you may incur as a result of such suspension or delay.
    • 2.5 We reserve the right without notice to:

      • alter the arrangements for access to the Service; and/or
      • change the content, presentation and/or facilities of the Service. We will endeavour to give you reasonable notice of any alterations or changes which are likely to affect you.

  • SECURITY
    • 3.1 We shall allocate to you such passwords and other identifiers as we think fit (the "Passwords") and may alter these from time to time upon reasonable notice being given to you.
    • 3.2 You are responsible for the security and proper use of all these Passwords and must take all necessary steps to ensure that all the Passwords are kept confidential, used properly and not disclosed to unauthorised people.
    • 3.3 You are responsible for ensuring that no unauthorised access is obtained to the Service by means of the Passwords. You will be entirely liable for all activities conducted using the Passwords, whether authorised by you or not.
    • 3.4 You must inform us immediately if you have any reason to believe that any Password has become known to someone not authorised to use it or if any Password is being or is likely to be used in an unauthorised way.
    • 3.5 If we have reason to believe that there is likely to be a breach of security or misuse of the Service we may change any or all of your Passwords immediately and will notify you accordingly.
    • 3.6 If you forget any Password, by contacting us by telephone and satisfying the security checks we operate, you will be given a new Password to enable you to use the Service.
    • 3.7 You confirm and warrant that all the information supplied by you when you register for the Service is true, complete and accurate in all respects and that you will notify us immediately of any changes to that information. If we believe that you have provided false information on registration or that you have intentionally failed to notify us of any changes to this information we reserve the right to terminate this Agreement and your access to the Service immediately without notice.

  • USE OF DATA

  • USE OF THE SERVICE
    • 5.1 As between you and us, all Intellectual Property Rights in the Service and the Material is and shall remain our property. You acknowledge that in using the Service you do not acquire any Intellectual Property Rights or other right, title or interest of whatsoever nature in the Service and the Material except the non-exclusive non-transferable right to use the Service as set out in this Agreement.
    • 5.2 You agree to use the Service in the ordinary lawful course of your business as a financial journalist for bona fide research and information-gathering, purposes only (the "Permitted Purpose") which may include the following incidental rights to the extent necessary for performance of the Permitted Purpose:

      • To view, search, and print out portions of the Material and/or extracts of searches of the Service; and
      • To bookmark, any part of the Material;
      • To make such temporary local electronic copies, by means of caching of all or parts of the Material within the Service as is necessary to ensure your efficient use provided that such use is subject to all the terms and conditions of this Agreement.
    • 5.3 Unless authorised in writing by us you must not nor attempt to do the following. All other rights in the Service and the Material are reserved. Any other copies, storage, transmission, publication or use is prohibited:

      • Except to the extent permitted by law, modify, reverse assemble, decompile, or reverse engineer the Service or any part thereof, or use any means to produce a source code version of any software used in the provision of the Service;
      • Make the Service or the Material or any part available on a local or wide-area network;
      • You shall not re-sell or attempt to re-sell the Service or the Material (or any part or facility of it) to any other person;
      • You shall not use the Service or the Material (or any part or facility of it) to create a service, which in any way competes or may compete with the Service; and
      • Use the Service other than in accordance with applicable UK legislation.
    • 5.4 You must agree and acknowledge that both we and third parties have a proprietary interest in parts of the Service and the Materials, and you agree not to remove, conceal or obliterate any copyright or other proprietary notices included in the Service.
    • 5.5 You must tell us immediately if anyone makes or threatens to make any claim or issue legal proceedings against you relating to your use of the Service or the Material and you will, at our request, immediately stop the act or acts complained of. If we ask you to, you must confirm the details of the claim(s) in writing.
    • 5.6 We may at our complete discretion suspend the Service immediately without notice if we believe that there has been a contravention of the Clause 5 and we will not restore it until we receive an acceptable assurance from you that there will be no further contravention.
    • 5.7 You undertake to comply with all laws and legislation, instructions or guidelines issued by regulatory authorities, relevant licences and any other codes of practice which relate to the provision of the Service or the Material which apply to you or of which we inform you.

  • TERMINATION
    • 6.1 In addition to anything else we can do, we can suspend and/or terminate access to the Service without further notice if:

      • you commit a breach of any term of this Agreement which is not capable of remedy or if capable of remedy is not remedied within seven (7) days of you receiving notice requesting you to do so; or
      • we believe the Service is being, or will be, used in a manner prohibited under Clause 5 even if you are unaware that the Service is being, or will be, used in such a way.
    • 6.2 In addition we may at any time terminate this Agreement on seven (7) days' notice from us to you.
    • 6.3 If we delay in acting upon a breach of this Agreement by you, then delay will not be regarded as a waiver of the breach. If we do waive a breach of this Agreement by you, that waiver is limited to that particular breach.

  • LIABILITY
    • 7.1 Access to the Service is provided free of charge and although we shall use reasonable care in the provision of the Service, neither we, nor our agents/licensors make any representation or give any warranty, either express or implied, as to the accuracy, reliability, merchantability or fitness for any purpose of any Material on the Service.
    • 7.2 Except in respect of death or personal injury, neither we, nor our agents/licensors shall have any liability whatsoever to you or any third party, for any direct, indirect or consequential loss or damage cost or expense suffered or incurred (whether arising in tort, contract or otherwise, and whether arising from our negligence or the negligence of our employees or agents or licensors and whether asserted against us or against you) arising out of the use, non-use, withdrawal or supply of the Service or the Material or for any decisions made by you or the readers of any article you may write based upon the Material pursuant to the supply of the Service; and all warranties express or implied which are inconsistent with this Clause 7 are hereby expressly excluded to the extent permitted by law.
    • 7.3 You shall indemnify us, our servants and agents, harmless against all costs, claims, demands, liabilities, losses or expenses including, without limitation, legal fees and costs arising out of or incurred as a result of any claims made, or litigation brought against us, our servants and agents, as a result of any breach by you of this Agreement.

  • ASSIGNMENT
    • You are not allowed to transfer or attempt to transfer the benefit of this Agreement in whole or in part without our written permission. The Service is provided solely for your own use.

  • FORCE MAJEURE
    • We shall be under no liability for any failure, delay or omission on its part if the same arises from any cause beyond our reasonable control including (but not limited to) Acts of God, acts or regulations of government or other authorities, war, fire, strikes or other industrial disputes, power failure, failure of telecommunication lines connections or equipment or failure or defects in any hardware or software owned or supplied by third parties.

  • SERVICE OF NOTICE
    • Any notice to be given shall be in writing and delivered by e-mail, by hand or pre-paid post to you at the address at which the Service is provided or any address you may subsequently notify us in writing to:

  • GOVERNING LAW
    • These Terms shall be construed in accordance with the laws of England and the parties hereby submit to the exclusive jurisdiction of the English courts.
